Contents of Long-term Legal Counsel Contract

• Name, legal person, address, telephone, fax, and signature of Clients and Yi Shi Law Firm;
  
  
• Two attorneys in charge of the engagement and contact person of the client;
  
  
• Service scope, such as providing legal opinions, checking documents, and informing of legislation;
  
  
• Charges, monthly USD 600 for 6 free service hours disbursed by bank remittance. Half discount for additional hours;
  
  
• Exceptions to free service, such as participating in the negotiation of a significant project, litigating or arbitrating and drafting formal legal documents;
  
  
• Costs, such as communication, transportation, allowance, accommodation and other procedure fees (not included in the charges) shall be disbursed or prepaid by the client after his prior consent;
  
  
• Confidentiality, both clients and Yi Shi Law Firm and its attorneys shall not disclose any trade secrets know to each other during the engagement to any other third party no matter whether the long-term contract expires; Clients shall not disseminate the privileged information of Yi Shi Law Firm without its prior consent;
  
  
• Term of contract, the long-term legal counsel contract is valid for one year and shall not be modified or terminated without the consent of the other party and may renew itself for another one year without a 3 month prior written notice of termination from the client;
  
  
• Version, the long-term legal counsel contract may be made in Chinese, English, Japanese and Korean language(s) with each being authentic and valid.
